Terms of Sale

These Terms of Sale govern wholesale and bulk purchases of research-use-only materials from Sparta Labs. They supplement our general Terms of Service (/legal/terms-conditions), which continue to apply in full; where these Terms of Sale are silent, the Terms of Service control. Key defined terms, buyer representations, and the research-use-only scope are set out in Sections 2 and 3 of the Terms of Service and are incorporated here by reference.
1. Research-Use-Only Scope of Sale
All materials are sold strictly for in-vitro laboratory research and development use, as described in Section 2 (Research Use Only; Intended Use) of our Terms of Service. Nothing sold is a drug, supplement, food, cosmetic, or medical device, and nothing is approved for human or veterinary use. This research-use-only scope defines the sole intended use of everything we sell and is not expanded or altered by any certificate of analysis, quote, invoice, article, or communication.
2. No Resale or Distribution for Human Consumption
As a condition of every sale, you agree that you will not resell, relabel, repackage, distribute, or market any product, or any material derived from any product, for human or veterinary consumption or for any clinical, therapeutic, or diagnostic use. You agree not to introduce any product into interstate commerce, or transfer it to any person, in a manner that would cause it to be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act. If you resell or distribute any product for lawful research-use-only purposes, you agree to obtain from each of your purchasers a research-use-only, no-human-consumption representation at least as protective as our End-User Declaration (/legal/end-user-declaration), and you agree to indemnify and hold Sparta Labs harmless from any claim arising out of your onward sale, distribution, or any downstream use of the products for human or veterinary consumption.
3. Buyer Representations
By placing a wholesale order you make the representations and warranties set out in Section 3 (Buyer Representations and Warranties) of our Terms of Service, and, where applicable, you affirm the representations in the End-User Declaration you accepted when requesting your wholesale account. You represent that the information you provide in connection with your account or order is accurate and complete.
4. Quotes, Orders, Pricing, and Acceptance
Wholesale quotes are provided for a stated window and are subject to change or withdrawal before acceptance. Your submission of an order constitutes an offer to purchase, and all orders are subject to acceptance by Sparta Labs. We may decline, limit, or cancel any order in whole or in part for any lawful reason, including suspected misuse, inability to verify your information or research affiliation, payment irregularities, or pricing errors. Payment terms, taxes, title, risk of loss, shipping, returns, warranties, limitation of liability, indemnification, and governing law are governed by the corresponding sections of our Terms of Service, which are incorporated here by reference.
5. Verification and Right to Refuse
We may, at our sole discretion, conduct due-diligence screening and require additional verification of your research affiliation, intended use, or an End-User Declaration before activating a wholesale account or fulfilling a first or subsequent order, particularly for higher volumes or higher-scrutiny compounds. Any communication indicating an intent to misuse a product, or to resell or use it for human or veterinary consumption, may result in cancellation of your order and retention of relevant information in an internal record used to screen future orders.
